The integration (M&A) is the art and science of combining two
companies together to create a single ownership. In economic terms,
merger and/or acquisition are the same. There is, however, one major
difference. In merger integration, one company's entity is absorbed
by another one. The transaction creates one company. On the other
hand, acquisition companies combine their resources but still have
certain identifiable differences.
Buyers of companies may have different missions when they begin
the integration process. Some buyers purchase companies only to
hold them for resale with an added value. The term used to describe
this type of buyer is "financial" buyer or "non-synergetic"
buyer. On the other hand, "strategic" buyers acquire each
company to increase its corporate family by integrating product
lines, customer base, etc.
We believe each integration process whether it is a merger or acquisition
is unique. Each process presents its own set of opportunities and
